Ethics and Compliance

The Minerva’s Way of Being Ethical integrity program is structured on solid pillars of governance and compliance. Based on our Code of Ethics – Conduct Guide and the Business Partner Code of Conduct, the program works to prevent, detect, correct, and monitor non-compliances, strengthening ethics as a guiding principle for our actions and decisions.

Corporate Governance

  • As a company listed on B3’s Novo Mercado, Minerva Foods complies with the rules of the Brazilian Securities and Exchange Commission (CVM) and adheres to the Brazilian Corporation Law (Law No. 6.404/76).
    We also follow the recommendations of the Brazilian Institute of Corporate Governance (IBGC), aiming to ensure ethical, transparent, and efficient management — one that creates sustainable value for our shareholders, employees, and society.
    Among the main corporate governance practices adopted by Minerva Foods, the following stand out:

  • Presence of independent members in the Board of Directors – at least 20%, according to the rules of the Novo Mercado

    Nomination Policies of members of the Board of Directors, Committees, and the Board of Executive Officers.

    Function division between the positions of CEO and Chairman of the Board of Directors.

    Performance Evaluation Policy directed at the Board of Directors and Statutory Management.

    System of competencies provided for in the attributions of the Board of Directors and Executive Officers, registered in the internal regulations of the governance bodies.
